Menty — Terms of Use

1. Agreement to These Terms

These Terms of Use ("Terms") form a legally binding agreement between you ("you", "your", or "User") and Menty ("Menty", "we", "us", or "our") governing your access to and use of the Menty mobile application (the "App") and any related services, content, or products (collectively, the "Service").

By creating an account, downloading the App, accessing the Service, or otherwise using Menty in any way, you agree to be bound by these Terms. If you do not agree, do not use the Service.

These Terms incorporate by reference our Privacy Policy.

2. About the Service

Menty is a daily AI-powered mental fitness coaching app that provides short, conversational sessions designed to help users build the habit of self-reflection. The Service includes:

Chat-based conversations with an AI coach (via text and voice input)
Personalized insights derived from your interactions over time
Real-world challenges related to your selected personal goals
Daily check-in sessions of approximately three minutes

2.1 Menty Is Not Medical Care

Menty is a wellness and coaching service. It is NOT a medical device, medical treatment, psychological therapy, psychiatric care, crisis intervention, or any other form of regulated healthcare. Menty does not diagnose, treat, cure, or prevent any medical, psychological, or psychiatric condition.

The AI coach is a software program, not a licensed healthcare professional. Conversations with Menty are not confidential within the meaning of any clinician-client privilege.

Always consult a qualified healthcare professional for medical concerns, mental health diagnosis, or psychiatric treatment.

2.2 Crisis Disclaimer

If you are experiencing a mental health crisis, having thoughts of self-harm, or in immediate danger, do not use Menty. Contact emergency services or a crisis hotline immediately:

3. Eligibility

You must be at least 18 years old to create an account or use the Service. By using the Service, you represent and warrant that:

You are at least 18 years old;
You have the legal capacity to enter into a binding agreement under the laws of your jurisdiction;
You are not prohibited from using the Service under any applicable law;
The information you provide to us is accurate, complete, and current.

If we learn that a user is under 18, we will terminate their account and delete their data in accordance with our Privacy Policy.

4. Account Registration

To use the Service, you must create an account. You may register using:

Your phone number (with one-time-code verification by SMS)
Sign in with Apple
Sign in with Google

You are responsible for:

Maintaining the confidentiality of your authentication credentials and device
All activities that occur under your account
Notifying us promptly at support@menty.ai of any unauthorized access or suspected compromise

We use Firebase Authentication (provided by Google LLC) to process sign-in.

5. Subscriptions, Pricing, and Billing

5.1 Subscription Plans

Menty offers the following auto-renewable subscriptions, processed through your Apple ID:

Local prices in non-Euro currencies are set by Apple based on the equivalent Apple price tier and may vary by region.

5.2 Free Trial

New subscribers may be offered a 7-day free trial on either plan. During the trial period you have unrestricted access to all subscription features. You may cancel the trial at any time before it ends to avoid being charged. The free trial is offered once per Apple ID per subscription group; ineligible users will be billed immediately upon subscribing.

5.3 Auto-Renewal (Required Apple Disclosures)

By subscribing, you acknowledge and agree:

Payment will be charged to your Apple ID account at confirmation of purchase.
Your subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current period.
Your Apple ID account will be charged for renewal within 24 hours prior to the end of the current period at the cost of the chosen package.
You can manage your subscription and turn off auto-renewal at any time by going to your Apple ID account settings in the App Store after purchase.
Any unused portion of a free trial period, if offered, will be forfeited when you purchase a subscription, where applicable.

5.4 Promotional Codes and Offer Codes

We may distribute promotional codes ("Offer Codes") that grant access to subscription content for a limited time, at a reduced price, or with an extended free trial. Offer Codes are redeemed through Apple's official in-app redemption sheet or via the App Store.

Offer Codes are non-transferable, may not be combined with other offers, and have no cash value. We may revoke Offer Codes at any time in case of fraud, abuse, or violation of these Terms.

5.5 Refunds

All purchases are processed by Apple. Refund requests must be directed to Apple at https://reportaproblem.apple.com.

We do not directly process refunds for subscriptions paid through the App Store. Where required by mandatory consumer protection laws in your country of residence, additional rights may apply.

5.6 Price Changes

We may change subscription prices for future renewal periods. We will notify you of price increases in accordance with applicable App Store rules and applicable law. If you do not accept a new price, you may turn off auto-renewal before the change takes effect.

6. User Content and AI Conversations

6.1 Your Content

You retain all rights to the content you submit to the Service — chat messages, voice recordings, goals, and other inputs ("Your Content"). By submitting Your Content to the Service, you grant Menty a worldwide, royalty-free, non-exclusive, sublicensable license to:

Process, store, and analyze Your Content solely for the purpose of providing the Service to you;
Process Your Content through third-party AI infrastructure providers (currently Google Vertex AI) to generate responses, insights, and challenges;
Use Your Content in anonymized and aggregated form to improve and develop the Service.

We do not sell Your Content to advertisers or other third parties, and we do not use Your Content for cross-app behavioural advertising.

6.2 AI-Generated Output

The Service generates conversational responses, insights, and challenges using artificial intelligence ("AI Output"). AI Output:

Is not professional advice of any kind (medical, psychological, legal, financial, or otherwise);
May contain inaccuracies, hallucinations, biases, or errors;
Should not be relied upon for important decisions without independent verification by a qualified human professional;
Is provided "as is" without any warranties.

You are solely responsible for how you act on AI Output. Menty disclaims liability for outcomes resulting from your reliance on AI Output to the maximum extent permitted by applicable law (see Section 15).

6.3 Confidentiality and Security of Your Content

Your conversations with Menty are encrypted in transit (modern, industry-standard TLS) and at rest (using a managed, hardware-backed key-management service). We restrict access to Your Content to authorized personnel who need such access to operate, maintain, or improve the Service.

7. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable law;
Use the Service in any way that may harm yourself or others;
Impersonate any person, entity, or affiliation;
Attempt to gain unauthorized access to the Service, other users' accounts, or any underlying systems;
Reverse engineer, decompile, disassemble, or attempt to derive source code or models from the App except as expressly permitted by mandatory applicable law;
Use automated means (bots, scrapers, crawlers) to interact with the Service without our express written consent;
Resell, redistribute, sublicense, or otherwise commercially exploit the Service or AI Output;
Submit content that infringes any third party's rights, including intellectual property rights, privacy rights, or publicity rights;
Submit content that is illegal, defamatory, obscene, harassing, threatening, fraudulent, or that incites violence;
Use the Service to develop or train competing AI models or services;
Circumvent any technical limitations of the App.

We may, at our sole discretion and without prior notice, suspend or terminate accounts that violate these rules.

8. Privacy

By using the Service, you acknowledge that you have read and understood the Privacy Policy.

9. Intellectual Property

The App, the Service, and their content, design, structure, code, trademarks, logos, and the Menty name are owned by Menty (or its licensors) and are protected by Dutch, EU, and international intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on a device that you own or control, solely for your personal, non-commercial use, subject to these Terms and the Apple Media Services Terms and Conditions.

No other rights or licenses are granted, expressly or implicitly. All rights not expressly granted are reserved.

10. Third-Party Services

The Service relies on third-party providers, including:

Apple Inc. — App Store, in-app purchases, push notifications, Sign in with Apple
Google LLC — Firebase Authentication, push notifications (FCM), Google Vertex AI (AI model inference), Sign in with Google
RevenueCat, Inc. — subscription state management
Sentry, Inc. — error and crash monitoring
Axiom, Inc. — application telemetry and analytics
Amazon Web Services, Inc. — data storage, key management, and compute

Each third-party provider has its own terms of service and privacy policy. Menty is not responsible for the practices of these providers. Where third-party content is displayed or made available through the Service, we make no representations or warranties about it.

11. Modifications to the Service

We may add, modify, suspend, deprecate, or discontinue any feature or component of the Service at any time, with or without notice. We will use reasonable efforts to notify subscribers of material changes that affect your subscription. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service, except where prohibited by mandatory consumer protection law.

12. Modifications to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you via an in-App notice or by email, with a reasonable notice period before the changes take effect. The "Last Updated" date at the top of this document indicates the most recent revision.

Your continued use of the Service after the new Terms take effect constitutes your acceptance of the updated Terms. If you do not agree, stop using the Service and cancel your subscription.

13. Termination

13.1 Termination by You

You may stop using the Service at any time. To delete your account and all associated data, use the "Delete Account" option in the App's profile settings.

Note: Cancellation of an active subscription must be processed via your Apple ID account settings in the App Store. Deleting your Menty account does not automatically cancel your Apple subscription.

13.2 Termination by Us

We may suspend or terminate your access to the Service:

For violation of these Terms;
If we are required to do so by law or by an order of a competent authority;
If your account presents security or fraud risks;
If we permanently discontinue the Service.

Where reasonably practical, we will provide advance notice. In urgent cases (e.g. fraud, security, legal compulsion), we may act without prior notice.

13.3 Effect of Termination

Upon termination:

Your right to use the Service ceases immediately;
Your account and Your Content will be deleted in accordance with our Privacy Policy;
Provisions of these Terms that by their nature should survive termination — including Sections 6, 9, 14, 15, 16, 17, and 18 — will survive.

14. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION:

IMPLIED WARRANTIES OF MERCHANTABILITY;
FITNESS FOR A PARTICULAR PURPOSE;
NON-INFRINGEMENT;
TITLE;
ACCURACY, RELIABILITY, AVAILABILITY, OR SECURITY OF THE SERVICE;
COMPATIBILITY WITH ANY DEVICE OR THIRD-PARTY SERVICE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT AI OUTPUT WILL BE ACCURATE, COMPLETE, OR APPROPRIATE.

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

Nothing in this section affects mandatory consumer rights you may have under the laws of your country of residence.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, in no event will Menty, its officers, directors, employees, agents, or licensors be liable for any:

Indirect, incidental, special, consequential, exemplary, or punitive damages;
Loss of profits, revenue, data, business, use, or goodwill;
Damages arising from your use of or inability to use the Service;
Damages arising from AI Output or decisions you make based on the Service;
Damages arising from security incidents, unauthorized access, or third-party services;

regardless of the legal theory (contract, tort, statute, or otherwise) and regardless of whether we were advised of the possibility of such damages.

Our total aggregate liability to you for all claims relating to the Service will not exceed the greater of:

(a) the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim; or (b) €50.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. To the extent such laws apply, some of the disclaimers and limitations above may not apply to you, and our liability will be limited to the maximum extent permitted by law.

Nothing in these Terms excludes or limits our liability for fraud, fraudulent misrepresentation, death or personal injury caused by our negligence, or any other liability that cannot be excluded under applicable law.

16. Indemnification

You agree to indemnify, defend, and hold harmless Menty and its officers, directors, employees, agents, and licensors from any claim, demand, loss, liability, damage, or expense (including reasonable legal fees) arising from:

Your use of the Service;
Your breach of these Terms;
Your violation of any law or third-party right;
Your Content.

This obligation survives termination of these Terms.

17. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or related to them are governed by the laws of the Netherlands, without regard to its conflict-of-law principles.

For consumers residing in the European Union, the mandatory consumer protection laws of your country of residence may also apply and take precedence where they grant you greater rights.

17.1 Informal Resolution

Before initiating any formal legal proceedings, you agree to first contact us at support@menty.ai and attempt to resolve the dispute informally for a period of at least 30 days.

17.2 Online Dispute Resolution (EU Consumers)

EU-based consumers may use the European Commission's Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr/.

17.3 Exclusive Jurisdiction

Subject to mandatory consumer law of your country of residence, the courts of Amsterdam, the Netherlands will have exclusive jurisdiction over any disputes arising out of or related to these Terms or the Service.

18. Apple-Specific Terms

The following provisions apply when you access the Service through an Apple-branded device. In the event of any conflict between these provisions and the rest of these Terms, the following provisions prevail with respect to your use through an Apple device.

18.1 Acknowledgement. You acknowledge that these Terms are entered into between you and Menty only, and not with Apple Inc. ("Apple"). Menty (not Apple) is solely responsible for the App and its content.
18.2 Scope of License. The license granted to you for the App is limited to a non-transferable license to use the App on any Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
18.3 Maintenance and Support. Menty is solely responsible for any maintenance and support services with respect to the App, as specified in these Terms or as required under applicable law. Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App.
18.4 Warranty. Menty is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App (if any) to you; and, to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App. Any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be the sole responsibility of Menty.
18.5 Product Claims. Menty, not Apple, is responsible for addressing any claims of you or any third party relating to the App or your possession and/or use of the App, including, but not limited to: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation, including in connection with the App's use of HealthKit or HomeKit frameworks (which the App does not use).
18.6 Intellectual Property Rights. In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, Menty (not Apple) will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.
18.7 Legal Compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
18.8 Apple as Third-Party Beneficiary. You and Menty acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary of these Terms.

19. Export Controls

You may not use, export, or re-export the App in violation of any applicable export-control laws, including U.S. export laws and EU dual-use regulations.

20. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect.

21. Entire Agreement

These Terms, together with the Privacy Policy and, where applicable, the Apple Media Services Terms and Conditions, constitute the entire agreement between you and Menty regarding the Service and supersede any prior agreements between you and Menty relating to the Service.

22. No Waiver

Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision. No waiver by Menty of any breach or default under these Terms will be deemed to be a waiver of any preceding or subsequent breach or default.

23. Assignment

You may not assign, transfer, or delegate these Terms or any rights or obligations hereunder without our prior written consent. Any attempted assignment in violation of this section is void.

We may assign, transfer, or delegate these Terms or any rights or obligations hereunder without restriction, including in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
